These Terms and Conditions (“Terms”) govern your access to and use of the website located at hceducationconsulting.com (the “Site”), operated by H&C Education, Inc. (“H&C Education,” “we,” “us,” or “our”). Please read these Terms carefully. By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Site.

We may update these Terms from time to time at our discretion. When we do, we will revise the “Last updated” date above and post the updated Terms on this page. Your continued use of the Site after changes are posted constitutes your acceptance of them.

Relationship to Our Services Agreement

These Terms govern your use of the Site only. They do not govern the consulting, tutoring, or other professional services we provide. Those services are provided exclusively under a separate written agreement between you and H&C Education — including our Master Services Agreement and the applicable Scope of Work (together, the “Services Agreement”). The Services Agreement governs all matters relating to paid services, including fees, payment, deliverables, cancellation, and refunds. In the event of any conflict between these Terms and the Services Agreement with respect to our services, the Services Agreement controls. Nothing on the Site constitutes an offer, agreement, or commitment to provide services except as set out in a signed Services Agreement.

Eligibility and Use by Minors

The Site is intended for use by adults — including parents, guardians, and adult students. It is not directed to children under 13, and we do not knowingly permit children under 13 to provide personal information through the Site. If you are under the age of 18, you may use the Site only with the involvement and consent of a parent or guardian.

Acceptable Use

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use of the Site by, any third party. You agree not to:

  • use the Site in violation of any applicable law, regulation, or these Terms;
  • attempt to gain unauthorized access to the Site, its servers, or any connected systems or networks;
  • introduce viruses, malware, or any other harmful or disruptive code;
  • use any automated means to access, scrape, or copy content from the Site without our prior written consent;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • collect or harvest personal information about other users; or
  • use the Site to advertise, solicit, or promote any business or service other than as expressly authorized by us.

 

We may, in our sole discretion and without notice, restrict or terminate your access to the Site if we believe you have violated these Terms.

Intellectual Property

The Site and its contents — including text, graphics, logos, images, design, layout, and the H&C Education name and marks, as well as our proprietary methodologies and materials — are owned by or licensed to H&C Education and are protected by copyright, trademark, and other intellectual-property laws. You may view and print content from the Site for your personal, non-commercial use, provided you retain all proprietary notices. Except as expressly permitted, you may not copy, reproduce, modify, distribute, republish, or create derivative works from any content on the Site without our prior written consent.

Your Submissions

If you submit feedback, suggestions, testimonials, or other communications to us through the Site or by email (“Submissions”), you grant H&C Education a non-exclusive, royalty-free license to use that Submission in connection with operating and promoting our business. You will not be identified by name in any public use of a testimonial without your consent. You represent that you have the right to provide any Submission and that it does not infringe the rights of any third party. We are not obligated to use, review, or keep any Submission confidential, except as set out in our Privacy Policy or Services Agreement.

Third-Party Links

The Site may contain links to third-party websites and resources that we do not control. We provide these links for convenience only, and their inclusion does not imply endorsement. We are not responsible or liable for the content, products, or services available on or through any third-party site, and your use of those sites is at your own risk and subject to their terms.

Disclaimer of Warranties

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, H&C EDUCATION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any information on the Site is accurate, complete, or current.

Informational note regarding admissions. Information on the Site is provided for general informational purposes and does not guarantee any particular outcome. No consultant, firm, or individual can assure admission to any college, university, or program, and neither H&C Education nor its principals or consultants represents or guarantees that any student will gain admission to any particular institution. Our role is to help students present themselves as effectively as possible and to maximize their opportunities. The specific terms governing our services, including any guarantees or their absence, are set out in the Services Agreement.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL H&C EDUCATION OR ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law. This section governs your use of the Site; liability arising from our services is addressed in the Services Agreement.

Indemnification

You agree to indemnify and hold harmless H&C Education and its owners, officers, employees, agents, and representatives from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Site or your breach of these Terms.

Dispute Resolution; Binding Arbitration

Please read this section carefully — it affects your legal rights and requires most disputes to be resolved by binding arbitration rather than in court.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site that cannot be resolved informally will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The arbitration will be seated in Massachusetts, and judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and H&C Education agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person’s claims.

Small-claims carve-out. Either party may bring an individual claim in small-claims court if it qualifies, instead of arbitration.

Right to opt out. You may opt out of this arbitration agreement by sending written notice to info@hceducationconsulting.com within 30 days of first accepting these Terms. If you opt out, the courts identified below will govern any dispute.

Informal resolution first. Before initiating arbitration, you agree to contact us at info@hceducationconsulting.com and allow 30 days to attempt to resolve the dispute informally.

This arbitration provision governs disputes relating to the Site. Disputes relating to our services are governed by the dispute-resolution provisions of the Services Agreement.

Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. To the extent any dispute is not subject to arbitration, you agree that it will be brought exclusively in the state or federal courts located in Suffolk County, Massachusetts, and you consent to the personal jurisdiction and venue of those courts. To the extent permitted by law, the prevailing party in any such proceeding will be entitled to recover its reasonable attorneys’ fees and costs.

Modification and Termination

We reserve the right to modify, suspend, or discontinue any part of the Site at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Site.

Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and H&C Education regarding your use of the Site, and supersede any prior agreements on that subject. (Your use of our services remains governed by the Services Agreement.) If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Section headings are for convenience only and have no legal effect.
